SONAR Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your subscription to and use of SONAR, a product of SOPAN.id ("SOPAN," "we," "us," or "our"). By subscribing to or using SONAR, you ("Merchant," "you," or "your") agree to be bound by these Terms.

Definitions

In these Terms, the following words carry the meanings below unless context requires otherwise:

  1. 1"SONAR" — the AI-native brand and marketing platform operated by SOPAN, including the landing page generation engine, content automation engine, ad creative automation, and merchant dashboard.
  2. 2"Subscription" — the monthly, auto-renewing paid plan described in Section 2.
  3. 3"Dashboard" — the web-based merchant control panel provided as part of the Subscription.
  4. 4"Assets" — marketing creatives, SEO articles, and any other content generated by SONAR on the Merchant's behalf.
  5. 5"Checkout Feature" — the optional payment-acceptance functionality described in Section 9.
  6. 6"Payment Gateway" or "iPaymu" — PT iPaymu Indonesia, SOPAN's designated third-party payment processing partner for the Checkout Feature.
  7. 7"Escrow Payment" — the optional payment method under which buyer funds are held by the Payment Gateway until delivery is confirmed.

Subscription Plan and Deliverables

The SONAR Subscription is billed at Rp 750,000 per month, charged automatically on a recurring monthly basis to the payment method on file, until cancelled. Each active Subscription includes, per business/brand onboarded:

  1. 1One (1) branded landing page, generated and hosted by SONAR.
  2. 2Product catalog support for up to forty (40) SKUs. Additional SKUs may require an upgraded plan or additional fee.
  3. 3Generation of four (4) marketing creative assets every two (2) weeks.
  4. 4Generation of four (4) SEO articles every two (2) weeks.
  5. 5Automated posting of generated Assets to the Merchant's connected Meta (Facebook/Instagram) and Google accounts.
  6. 6Access to the Dashboard, including analytics, content oversight, on-demand Asset generation, and order/logistics visibility.

SKU limits, Asset generation frequency, and Asset types may be revised by SOPAN with at least thirty (30) days' notice to active Merchants. Continued use after such notice constitutes acceptance of the revised limits.

Asset Review and Takedown Rights

SONAR automates the generation and posting of marketing Assets and SEO articles on the Merchant's behalf. The Merchant retains the right, at any time, to review any Asset generated or posted by SONAR and to request its takedown or removal if the Merchant does not approve of it. Takedown requests may be made via the Dashboard or through the SOPAN team via WhatsApp at +62 811-8806-7380. SOPAN reserves the right to independently remove or decline to publish any Asset that, in its reasonable judgment, violates platform policies (Meta, Google, or otherwise), applicable law, or these Terms.

Advertising Spend and CPC Threshold Gating

To protect Merchants from inefficient ad spend, SOPAN applies a performance-gating mechanism before allowing additional ad budget to be deployed. The Merchant's ad account may not be topped up or boosted until SOPAN's system determines that the Merchant's Cost-Per-Click (CPC) has reached a threshold considered healthy for the Merchant's industry vertical. This determination is final and at SOPAN's reasonable discretion. Ad spend itself is funded by the Merchant directly and is separate from the monthly Subscription Fee.

Website Setup, Edits, and Go-Live

Before a Merchant's landing page goes live, the Merchant may make edits directly within the Dashboard using SONAR's self-serve editing tools, or request modifications from the SOPAN team via WhatsApp +62 811-8806-7380. SOPAN will use reasonable efforts to action modification requests in a timely manner but does not guarantee a specific turnaround time unless otherwise agreed in writing. The Merchant is responsible for reviewing their landing page prior to go-live and confirming the accuracy of product information, pricing, and business details.

The Merchant Dashboard

Upon subscribing, the Merchant receives access to the Dashboard, which provides:

  1. 1Performance analytics for the landing page and connected ad campaigns.
  2. 2Oversight of content being automatically generated and posted on the Merchant's behalf.
  3. 3Tools to generate marketing Assets on demand, in addition to the automated bi-weekly generation.
  4. 4Visibility into incoming orders and tools to manage logistics (where the Checkout Feature is enabled).

Billing and Payment of the Subscription Fee

The Subscription Fee is billed monthly in advance via automatic recurring charge to the Merchant's registered payment method. It is the Merchant's responsibility to ensure a valid payment method is on file; failed payments may result in suspension of SONAR services until payment is successfully processed. All fees are stated in Indonesian Rupiah (IDR) and are exclusive of applicable taxes (including VAT/PPN) unless stated otherwise.

Cancellation

The Merchant may cancel their Subscription at any time, with no minimum commitment period, via the Dashboard or WhatsApp at +62 811-8806-7380. Upon cancellation, the Merchant's landing page and all advertising campaigns associated with the Merchant's business will be taken down, in accordance with the Refund and Cancellation Policy, which forms part of these Terms by reference. Cancellation takes effect at the end of the current paid billing cycle. No partial-month credit is issued for the remainder of an active cycle.

Checkout Feature, Payment Gateway, and Escrow

  1. 1KYC requirements: Merchants who wish to enable a checkout page must first provide their NPWP, KTP, and valid Indonesian bank account information. No checkout functionality is activated until this is submitted and verified.
  2. 2Payment Gateway partner: The Checkout Feature is powered by iPaymu (PT iPaymu Indonesia), which independently verifies Merchant KYC and will not authorize live transactions until verification is complete.
  3. 3No commission: SOPAN does not take any percentage or commission on transactions. Payments via credit card, debit card, QRIS, or virtual account are routed directly to the Merchant's bank account, subject to iPaymu's settlement terms.
  4. 4Monthly transaction fee: SOPAN charges a separate, flat monthly fee for access to the Checkout Feature, billed independently of the Rp 750,000 Subscription Fee. This fee may be cancelled at any time.
  5. 5Escrow Payment: Customers may choose to pay via Escrow, under which funds are held by iPaymu and released to the Merchant once delivery is confirmed. SOPAN is not a party to, and does not hold, any funds in the Escrow process.
  6. 6Disclaimer: SOPAN is not a bank, payment institution, or money services business, and does not hold or process customer funds at any point. All payment processing is performed by iPaymu, subject to its own terms of service.
  7. 7Consequences of cancellation: If a Merchant cancels their Subscription or the Checkout Feature, the landing page, checkout page, and related advertising campaigns will be taken down accordingly.

Merchant Responsibilities

The Merchant agrees to:

  1. 1Provide accurate, current, and complete information, including KYC documentation where the Checkout Feature is used.
  2. 2Ensure all products, services, pricing, and claims displayed on the landing page comply with applicable Indonesian law and platform advertising policies (Meta and Google).
  3. 3Promptly fulfil and deliver orders placed by customers through the landing page.
  4. 4Maintain a valid payment method for the Subscription Fee.
  5. 5Review Assets generated on their behalf within a reasonable time and flag any for takedown.

Intellectual Property

SOPAN retains all rights, title, and interest in and to the SONAR platform, including its underlying software, templates, design system, and content generation engine. Assets generated specifically for a Merchant's business may be used by the Merchant for their business purposes for as long as the Subscription remains active; continued usage rights upon cancellation are governed by the Refund and Cancellation Policy. The Merchant retains ownership of their own brand assets, trademarks, product data, and content they directly provide to SONAR.

Limitation of Liability

SONAR is provided on an "as is" and "as available" basis. SOPAN does not guarantee specific business outcomes, including sales volume, conversion rates, ad performance, or search engine rankings. To the maximum extent permitted by applicable Indonesian law, SOPAN's total liability arising out of or relating to these Terms shall not exceed the total Subscription Fees paid by the Merchant in the three (3) months immediately preceding the event giving rise to the claim. SOPAN is not liable for any loss arising from third-party platform actions (such as Meta or Google account suspension, ad disapproval, or policy changes) or from the Payment Gateway's decisions.

Changes to These Terms

SOPAN may update these Terms from time to time. Material changes will be communicated to active Merchants via the Dashboard, WhatsApp, or the contact information on file, with reasonable advance notice. Continued use of SONAR after such changes take effect constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably between the parties. Should an amicable resolution not be reached, disputes shall be subject to the jurisdiction of the competent Indonesian district court.
